Terms of Service
Last updated: 14 May 2026. The terms that apply when you engage TGM.
1. Who these terms apply to
These Terms of Service ("Terms") apply to the services provided by Trades Growth Machine ("TGM", "we", "us"), ABN 62 177 455 049, to you ("Client", "you") when you engage us for any of our products or services.
By engaging us (paying a deposit, signing a quote, or otherwise instructing us to commence work), you agree to these Terms. If you don't agree, don't engage our services.
2. Our services
TGM offers website builds, SEO, paid advertising management, CRM setup, and various automation services. Full details are on our Services and Pricing pages.
The specific scope of work for your engagement is defined in your quote or statement of work. The published service descriptions are general descriptions — your scope may include customisations.
3. Pricing + payment
- All prices are AUD, ex GST. GST is added to invoices for Australian clients.
- Setup fees are one-off and paid before work begins.
- Website builds — 50% deposit on signing, 50% on launch.
- Monthly fees are billed in advance each month and cover ongoing software access, monitoring, and minor tweaks as scoped in your engagement.
- Annual prepay on monthly fees attracts a 10% discount and locks in your monthly rate for 12 months.
- Locked-in pricing — your rate is held for 12 months from your start date. Pricing TGM-wide may change; locked rates honoured.
- Overdue invoices — services may be paused if invoices are more than 14 days overdue. Restoration after settlement of the outstanding balance.
4. Build cycles + revisions (website builds)
Website builds run on a 2–3 week cycle with four approval gates: (1) design direction, (2) homepage proof, (3) full draft, (4) pre-launch review.
Two rounds of revisions are included per approval gate. Revisions beyond two rounds at any gate are scope creep and quoted hourly (rate confirmed before extra work commences).
30-day post-launch warranty — anything in the original scope that breaks within 30 days of launch is fixed at no charge.
5. Cancellation + termination
- Monthly services (Care Plans, stage subscriptions) — cancel with 30 days' written notice. Pro-rated refunds where applicable.
- Website builds in progress — if you cancel before launch, the deposit covers work completed to date. Additional milestones already invoiced and completed are non-refundable.
- We may terminate if invoices are 30+ days overdue or if there's a material breach of these Terms. We'll always communicate before termination where possible.
- Data export — on cancellation, we'll export your contacts + conversation history (CSV) and document your integrations. No hostage data.
6. Intellectual property
Custom-built assets (your website code, content, designs) become yours on final payment.
Underlying frameworks + templates (the Astro framework, our internal automation templates, our process documentation) remain ours and may be reused with other clients.
Third-party services (GoHighLevel, Cloudflare, Stripe, etc.) are subject to their own terms — we don't transfer ownership of access to those platforms; you hold your own accounts.
7. Limitation of liability
To the extent permitted by Australian law:
- Our total liability for any claim under or in connection with these Terms is capped at the fees paid by you in the 12 months prior to the claim.
- We are not liable for indirect, consequential, or special losses (including lost profits, lost data, or business interruption).
- Nothing in these Terms excludes liability that cannot be excluded under the Australian Consumer Law.
Results disclaimer: we work hard to deliver outcomes (rankings, leads, bookings) but we don't guarantee specific results. Marketing outcomes depend on many factors outside our control.
8. Confidentiality
We treat business information you share with us as confidential and use it only to deliver our services. We expect the same — TGM's pricing, process documentation, and templates shared with you during an engagement are confidential.
Mutual NDAs are signable where the engagement warrants it. We don't sign one-sided NDAs that prevent us speaking about our own methodology.
9. Subcontractors
We may use subcontractors (e.g. for specialist development, copywriting, or photography work). We remain responsible for the deliverables and use subcontractors bound by equivalent confidentiality terms.
10. Governing law
These Terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales for any disputes that arise.
11. Changes to these terms
We may update these Terms occasionally. Changes apply to engagements signed after the change date — your existing engagement is governed by the Terms in effect when you signed.
